Job Summary

Senior Legal Counsel to join Sierra’s global legal team as the first legal hire in Japan, focusing on end-to-end commercial contracting for SaaS and enterprise software, with exposure to IP, regulatory, privacy, and product law. You’ll build scalable templates and workflows, advise broadly on contractual issues, mentor junior lawyers, and collaborate cross-functionally to accelerate revenue growth in a hyperscaling tech business.

Job Function: Legal, Risk & Compliance

Key Responsibilities

•Structure, negotiate and advise on all commercial contracts, including SaaS subscription agreements, technology licenses, professional services agreements, partnership agreements, vendor agreements and NDAs; including privacy and security contracting (e.g., DPAs, BAAs) as a plus
•Help build out the legal function with templates, playbooks, and workflows to drive efficiency and scalability
•Provide deep knowledge across contract law, IP, regulatory, and privacy; advise on AI-related legal issues and evolving regulatory frameworks
•Train and mentor junior team members and collaborate cross-functionally with Sales, Operations, and other teams
•Understand risk in the context of a hyperscaling business and exercise sound, strategic judgement

Key Requirements

•8+ years of legal experience with a mix of large law firm and in-house at a tech company; open to exceptional candidates with less experience as Commercial Counsel
•Strong background in negotiating and managing complex commercial contracts, preferably in SaaS, AI, or enterprise software
•Fluent in Japanese and English with ability to partner with both legal and non-legal stakeholders
•Proactive mindset and ability to navigate ambiguity in a fast-paced startup environment
•Experience working on a global legal team with strong organization, time and project management skills
