Key Responsibilities

  • •Provide fund disclosure and SEC filing support by advising on and overseeing initial and ongoing registration materials, prospectuses, PPMs, proxy materials, and SEC Forms N-1A, N-2, N-14, Schedule 14A, and related disclosures.
  • •Oversee product line changes, fund mergers, reorganizations, shelf offerings, and implementation of regulatory changes, including engagement on regulatory rule proposals.
  • •Manage shareholder proxy initiatives and preparation, supervision, and review of voting materials for special and routine matters and at shareholder meetings.
  • •Handle shareholder reporting and public disclosure deliverables, including SEC Form N-CSR and Forms N-CEN, N-PORT, and N-PX, plus fund board materials.
  • •Advise internal and external stakeholders (e.g., fund auditors, fund counsel, independent trustee counsel) and provide practical solutions that balance legal risk with commercial and strategic priorities.

Key Requirements

  • •Juris Doctor (JD) and active bar membership are required.
  • •At least 4–6 years of relevant legal experience with registered and unregistered investment companies under securities laws, with emphasis on the 1940 and 1933 Acts.
  • •Strong regulatory disclosure background, including experience with the SEC disclosure forms listed in the role.
  • •Experience engaging directly with SEC staff regarding disclosure, registration, and regulatory matters.
  • •Strong analytical, writing, and communication skills, with the ability to translate complex legal issues into practical guidance.
