Key Responsibilities

  • •Own legal product counseling for Meridian across design, development, launch, scale, and ongoing maintenance.
  • •Advise on broker-dealer obligations end-to-end, including FINRA rules, Regulation Best Interest and suitability, private-placement due diligence, communications review, investor eligibility, AML/KYC, licensing, books and records, and supervisory frameworks.
  • •Analyze product and transaction structures under the Securities Act, Exchange Act, Regulation D, Investment Company Act, and Investment Advisers Act, including tender-offer and Regulation ATS requirements where relevant.
  • •Own legal analysis for resale and transfer mechanics, including ROFRs, consent rights, transfer restrictions, solicitation, matching, compensation structures, and “effecting transactions” risk.
  • •Build and maintain Meridian’s foundational legal and disclosure framework (vehicle documents, product terms, risk disclosures, conflicts disclosures, and buyer/seller communications) and design scalable legal review/escalation processes.

Key Requirements

  • •J.D. and active bar membership in good standing, with 6–10 years of relevant legal experience.
  • •Direct experience advising or working within a registered broker-dealer, ideally involving private placements, private securities, alternative investments, or secondary transactions.
  • •Deep fluency in the Securities Act, Exchange Act, Regulation D, FINRA rules, and the broker-dealer regulatory perimeter, including Regulation Best Interest and suitability.
  • •Strong understanding of the Investment Company Act, Investment Advisers Act, and private-fund exemptions (including experience with private-fund interests, ROFR/transfer mechanics, tender-offer analysis, or blue sky laws).
  • •Clear, direct communication and proven ability to own complex initiatives and translate legal analysis into concrete product and operational requirements.
