Key Responsibilities

  • •Prepare and review public offering materials, including registration statements and prospectuses under the ’33 Act and private placement memoranda
  • •Prepare and review ’34 Act filings including Forms 10-K, 10-Q, 8-K and Section 16 filings and manage the annual meeting proxy process
  • •Liaise with management and outside counsel on all aspects of corporate governance, including board and committee meeting planning and preparation of meeting materials
  • •Assist with private placement offerings for BREIT’s international and other fundraising efforts, including leading and managing legal workstreams for the structuring and launch of new initiatives and products
  • •Interpret and apply regulations related to the operation, communications, marketing and offering of securities in the United States and abroad, including application of Regulation D, Regulation S and “world sky” laws
