Key Responsibilities

  • •Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, engagement letters) while liaising with counterparties and meeting turnaround times.
  • •Act as primary day-to-day contact for sophisticated investment funds and asset managers, building trusted advisor relationships.
  • •Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
  • •Collaborate with and mentor junior lawyers and paralegals by reviewing their work and supporting a high-performing team culture.
  • •Contribute to continuous improvement of Carta’s legal technology suite by identifying opportunities to innovate with AI-backed tools.

Key Requirements

  • •6-8+ years of post–law school corporate or transactional experience with a track record negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
  • •Licensed to practice law in the Americas (US/Canada).
  • •Experience working with asset managers, investment banks, or other financial services firms.
  • •Commercially minded and client-focused: communicate legal advice crisply and concisely to build strong client relationships.
  • •Comfortable working with legal technology (e.g., AI tools, HighQ) and an interest in legal tech/AI is a plus.
