Job Summary

Join Figma as Corporate Counsel to scale the company's corporate and securities strategy. You will support SEC reporting, governance materials, and equity matters while partnering with accounting, equity, finance, and communications. You’ll help automate legal workflows with AI tools, draft and review regulatory filings, and advise on strategic transactions and financings. This role is full-time, based in the US or remote within the United States.

Key Responsibilities

•Support the preparation, review, and filing of Figma's SEC reports and other corporate regulatory filings, including quarterly reports, the annual proxy statement, Section 16 filings, and beneficial ownership reports
•Support review of public-facing corporate communications, including earnings materials and investor presentations
•Assist with corporate governance matters, including preparing Board and Committee materials and maintaining and operationalizing public-company policies
•Provide support on equity matters, including 10b5-1 plans and Figma's trading policy
•Build and maintain processes using AI and other tools, such as playbooks, templates, metrics, self-serve tools, and automations, to help improve legal workflows and scale the legal function

Pay and Benefits

Salary: USD 153,000 - 296,000 annually

Key Requirements

•4+ years of legal experience at a top tier law firm and in-house legal department; you should have a J.D. and be a current member in good standing of at least one U.S. state bar
•Deep knowledge of corporate and securities laws and SEC reporting requirements
•Excellent interpersonal skills and business judgment, with the ability to distill complex issues and communicate them clearly to stakeholders
•Proactive and adaptable, with the ability to prioritize across multiple projects and recalibrate advice in response to shifting priorities, legal developments, and risk tolerance
•You don’t need to be an expert in everything, but you should have a strong self-awareness around what you know and what you don’t know, and a sense of curiosity and desire to learn what you don’t.
