Key Responsibilities

  • •Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, engagement letters) while liaising with counterparties and meeting turnaround times.
  • •Act as the primary day-to-day contact for clients, building trusted advisor relationships with investment fund and asset manager clients.
  • •Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
  • •Collaborate with and mentor junior lawyers and paralegals by reviewing work and supporting a high-performing team culture.

Key Requirements

  • •6-8+ years of post–law school corporate or transactional experience, with experience independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
  • •Licensed to practice law in the Americas (US/Canada).
  • •Experience in transactional law and a commercial, client-focused approach to providing legal advice.
  • •Familiarity with financial services, including work with asset managers, investment banks, or similar firms.
  • •Comfort with legal technology tools (e.g., AI tools, HighQ) and interest in legal tech/AI.
