Key Responsibilities

  • •Provide legal support across the full lifecycle of AMD data center transactions, including site selection, leasing, credit support, and ongoing operations.
  • •Negotiate third-party credit support mechanisms (e.g., guarantees and other risk-allocation structures) and support co-investment and partnership structures.
  • •Support capital markets and structured finance transactions funding data centers and infrastructure, partnering on documentation and negotiations with lenders, sponsors, investors, and rating agencies.
  • •Review and negotiate electricity and utility agreements, including power purchase agreements, interconnection agreements, and related utility arrangements.
  • •Advise on energy regulatory matters and coordinate outside counsel, developing scalable templates and playbooks for recurring transactions.

Key Requirements

  • •Extensive legal experience with complex commercial real estate, data center, or digital infrastructure transactions.
  • •Experience with capital markets and structured finance transactions (e.g., project finance, secured lending, securitization).
  • •Energy and infrastructure experience, including electricity transactions, power purchase agreements, interconnection, and utility arrangements.
  • •Practical real estate knowledge across leasing, development, construction, lending, title, zoning, and land use.
  • •JD (preferred) and active membership in good standing in at least one U.S. state bar (desired).
