Job Summary

Support commercial contracting across key AMER financial institution clients for SaaS services, drafting and negotiating MSAs, SaaS agreements, SOWs, and NDAs. Manage the full review cycle through closure, structure risk allocation and regulatory-compliance provisions, and escalate key risks with recommended mitigants. Partner with Americas Sales and Customer Success, procurement, and internal stakeholders, and use AI tools to streamline legal workstreams and refine templates and training materials.

Key Responsibilities

•Draft and negotiate commercial contracts (including MSAs, SaaS agreements, SOWs, and NDAs) for major SaaS-related transactions.
•Own the contract review cycle from drafting and negotiation through closure.
•Structure and negotiate risk allocation and regulatory compliance provisions for each transaction.
•Use AI tools to streamline complex reviews and refine legal templates, processes, and sales enablement materials.
•Identify potential risks and recommended mitigants for escalation; partner with procurement and support due diligence for material commercial contracts.

Pay and Benefits

Salary: USD 195,000 - 240,000 annually

Key Requirements

•8+ years of experience at a top-tier law firm and/or in-house at a technology company.
•Experience negotiating complex software or SaaS transactions.
•Background in financial services, fintech, blockchain, cybersecurity, or crypto industries (preferred).
•J.D. or LL.B from a law school and active membership in good standing of a U.S. state bar; New York admission (or eligibility to register as in-house counsel in New York) preferred.
•Proven ability to manage competing priorities in a high-pressure environment, including using AI tools to create efficiencies and collaborating cross-functionally.
