Key Responsibilities

  • •Provide business-and-legal advice to project teams and business stakeholders across Canada and the United States using a practical COE approach.
  • •Review, draft, negotiate, and interpret client contracts and related documents while identifying requirements, responsible parties, scope, commercial terms, and legal/business risks.
  • •Lead or support negotiations for consulting, engineering, construction, procurement, and other commercial agreements, escalating appropriately to reach balanced outcomes.
  • •Conduct contract risk assessments and develop proactive risk mitigation strategies aligned with authorization matrices, corporate policies, governance requirements, and applicable law.
  • •Support contract training and COE leadership by mentoring colleagues and improving templates, standard clauses, and contracting process using CLM systems and AI-driven tools.

Key Requirements

  • •7+ years of related legal and contracting experience drafting, editing, reviewing, negotiating, and interpreting contracts in engineering, infrastructure, environmental, transportation, energy, or commercial construction.
  • •Working knowledge of common commercial contracting models and compensation types, including CPFF, T&M, and FFP.
  • •Law degree from a recognized institution and membership in good standing with at least one U.S. state bar to provide in-house legal support consistent with bar rules.
  • •Experience supporting stakeholders across jurisdictions, including Canada and the United States, within a large, matrixed organization.
  • •Experience with CLM systems, Microsoft 365 tools, and AI-driven technologies, with the ability to mentor/trains others and manage competing priorities.
