Key Responsibilities

  • •Support strategic transactions including M&A, investments, capital markets, and financing, and manage ongoing obligations from transaction documentation.
  • •Assist with SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reporting, and NYSE submissions).
  • •Support corporate governance and entity management, including intercompany transactions, entity reorganizations, and corporate filings.
  • •Advise on investor relations and corporate communications, including review of earnings materials and public/internal communications.
  • •Provide practical, risk-based legal guidance to executives and cross-functional teams, monitoring compliance impacts from new and proposed corporate/securities laws.

Key Requirements

  • •Juris Doctor (ABA-accredited) and a current active license to practice law in at least one US jurisdiction.
  • •4+ years of experience post-law school in corporate, securities, and/or M&A (law firm and/or in-house).
  • •Experience leading and managing strategic transactions (capital markets, M&A, financing) and/or advising corporate governance matters for public companies.
  • •Experience advising management and stakeholders on legal considerations and risks for corporate transactions and initiatives.
  • •Experience with SEC rules, regulations, and compliance for public companies (including periodic reporting and Regulation FD).
