Key Responsibilities

  • •Administer corporate governance processes for assigned entities and boards, with a primary focus on subsidiaries domiciled in Maryland.
  • •Draft, revise, and maintain governance and board/entity organizational documents, including minutes, resolutions, charters, bylaws, and director materials.
  • •Maintain accurate, complete, and properly organized corporate records in accordance with team procedures and support record security.
  • •Coordinate planning and administration of board, committee, and shareholder meetings, including scheduling, materials preparation, deliverables tracking, and documentation support.
  • •Assist with director onboarding/offboarding and continuing education; partner with stakeholders to deliver board materials and track voting results and board actions.
