Key Responsibilities

  • •Oversee corporate governance and secretarial practices to ensure compliance with laws and regulations.
  • •Prepare board/committee/shareholder meeting agendas, resolutions, and minutes, and coordinate approvals with directors and members.
  • •Maintain and update statutory books and records and ensure accuracy across group entities.
  • •Ensure compliance with regulations in relevant countries, including support for incorporation, restructuring (share transfers), or liquidation as needed.
  • •Provide legal advice on corporate matters, draft/review corporate documents, and file required documents with registries and regulators.

Key Requirements

  • •Juris Doctor (JD), Bachelor of Laws (LLB), or equivalent legal degree from a recognized institution.
  • •Minimum 4–6 years of legal experience in corporate governance, secretarial work, corporate law, capital markets, and regulatory compliance.
  • •Prior experience as a corporate secretary in a listed PJSC in the UAE is highly desirable.
  • •Ability to provide legal advice on corporate matters, including compliance and governance issues.
  • •Experience supporting corporate legal operations, including preparation and management of corporate/legal documents.
