Job Summary

Serve as a trusted legal advisor at the intersection of corporate finance and strategic transactions, supporting major debt financings from term sheet through closing. Draft, review, structure, and negotiate financing documents and ancillary agreements, coordinate due diligence and closing logistics, and help maintain ongoing covenant compliance. Collaborate closely with Finance, Corporate Development, and other business teams while translating complex legal concepts for both legal and non-legal stakeholders.

Key Responsibilities

•Execute corporate financing and capital markets transactions from term sheet through closing with guidance from the AGC.
•Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, guarantees, security packages, and ancillary documents.
•Support Finance with due diligence and manage document flow and closing logistics across outside counsel and internal teams.
•Support ongoing covenant compliance post-closing.
•Support entity formations and intercompany transactions while maintaining organized deal files and standardized templates.

Pay and Benefits

Salary: USD 220,000 - 260,000 annually

Key Requirements

•Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.

•Strong business judgment to balance legal risk against commercial objectives.
•Working knowledge of corporate governance and compliance best practices.
